1. Acceptance of Terms

By accessing and using Zyntra's website and services, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, and clients who access or use our web design, development, and related services.

2. Services Provided

Zyntra provides the following professional services:

• Custom web design and development
• E-commerce website development
• Mobile application development
• WordPress development and customization
• Website maintenance and support
• Software development services

All services are provided subject to availability and acceptance of project requirements.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete project information
• Supply necessary content, images, and materials in a timely manner
• Review and approve deliverables within agreed timelines
• Make timely payments as per the agreed payment schedule
• Respond to communications and feedback requests promptly
• Ensure all provided content complies with applicable laws

4. Payment Terms

4.1 Pricing and Quotations

All prices are quoted in Indian Rupees (INR) unless otherwise specified. Quotations are valid for 30 days from the date of issue.

4.2 Payment Schedule

• Small Projects (up to ₹50,000): 50% advance, 50% upon completion
• Medium Projects (₹50,001 - ₹2,00,000): 40% advance, 30% at milestone, 30% upon completion
• Large Projects (above ₹2,00,000): Custom payment schedule based on project milestones

4.3 Late Payments

Late payments may incur an interest charge of 2% per month. Work may be suspended if payments are not received within 7 days of the due date.

5. Project Timeline

Project timelines are estimates based on current workload and timely receipt of required materials from clients. Delays caused by client-side issues may result in timeline extensions.

Zyntra will make reasonable efforts to meet agreed deadlines but is not liable for delays caused by:

• Late or incomplete client deliverables
• Significant scope changes during project execution
• Technical issues beyond our control
• Force majeure events

6. Intellectual Property Rights

6.1 Client Content

You retain all rights to content, images, and materials you provide. By providing these materials, you grant Zyntra a license to use them for project development.

6.2 Developed Work

Upon full payment, ownership of the custom-developed website/application transfers to you. This includes:

• Custom design elements created specifically for your project
• Custom-written code developed for your project
• Project-specific documentation

6.3 Third-Party Components

Projects may include third-party components (frameworks, plugins, libraries) governed by their respective licenses. These remain property of their respective owners.

7. Revisions and Changes

Each project includes a specified number of revision rounds as outlined in the project agreement. Additional revisions beyond the agreed scope will be charged separately.

Major changes to project scope after approval may result in additional costs and timeline adjustments.

8. Support and Maintenance

Post-launch support terms vary by project and are specified in individual agreements. Standard support includes:

• Bug fixes related to original development (30 days free)
• Technical support for implemented features
• Guidance on content updates and basic changes

Extended maintenance packages are available separately.

9. Warranties and Disclaimers

Zyntra warrants that services will be performed with reasonable skill and care. However:

• We do not guarantee specific search engine rankings or traffic levels
• We are not responsible for third-party service failures (hosting, plugins, APIs)
• We do not guarantee compatibility with future browser or platform updates
• Services are provided "as is" without warranty of merchantability or fitness for a particular purpose

10. Limitation of Liability

Zyntra's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project in question.

We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from client's use or inability to use the delivered product
• Issues arising from unauthorized modifications to delivered work

11. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the project. This includes:

• Business strategies and proprietary information
• Login credentials and access details
• Financial information and pricing details
• Unpublished designs and development work

12. Termination

Either party may terminate the agreement with written notice. Upon termination:

• Client must pay for all work completed to date
• Zyntra will provide all completed deliverables
• Any advance payments are non-refundable
• Both parties must return or destroy confidential information

13. Dispute Resolution

Any disputes arising from these terms shall be resolved through:

• Good faith negotiations between both parties
• Mediation, if negotiation fails
• Arbitration in Udupi, Karnataka, India

These terms are governed by the laws of India, and courts in Udupi, Karnataka shall have exclusive jurisdiction.

14. Changes to Terms

Zyntra reserves the right to modify these Terms and Conditions at any time. Continued use of our services after changes constitutes acceptance of modified terms.

Clients will be notified of significant changes via email or website notice.
